Terms of Service

Operating terms, service timelines, and payment expectations for our managed IT and technology support services.

1. Provision of Services

By engaging with Citiark Technology Group LLC, you agree to the terms governing our services, which may include managed IT support, cybersecurity services, cloud administration, and related technical consulting. Citiark Technology Group LLC will provide services in accordance with accepted industry practices and the agreed scope. Deliverables, response targets, and service boundaries will be documented in a proposal, statement of work, or service agreement before work begins.

2. Timelines and Deliverables

Technology services are ongoing and depend on cooperation between both parties. While Citiark Technology Group LLC will provide estimated timelines for onboarding, remediation, and support milestones, those timelines depend on timely communication and access provided by the client. Delays in approvals, access credentials, or required internal coordination may affect delivery dates.

3. Payment Terms and Retainers

Invoices are generally issued as monthly managed service fees unless a separate project structure is agreed in writing. Payment to Citiark Technology Group LLC is due according to invoice terms. Third-party software licenses, cloud subscriptions, and vendor charges are the client’s responsibility unless explicitly included in an agreement. Late payment may result in suspension of non-critical services until the account is brought current.

4. Client Responsibilities and Access

To enable service delivery, the client must provide required authorizations, administrative access, and accurate technical information. The client is responsible for maintaining lawful ownership or licensing of software, data, and systems under management. Citiark Technology Group LLC is not liable for issues arising from inaccurate information, unauthorized software use, or limitations imposed by third-party vendors.

5. Termination of Services

Either party may terminate service with written notice as defined in the governing agreement. Upon termination, Citiark Technology Group LLC will coordinate transition steps, including returning or revoking access where appropriate, and invoicing for services rendered through the termination date. Citiark Technology Group LLC reserves the right to terminate services for material breach of these terms or unlawful activity.
